Please read these Terms of Use ("Terms") carefully before creating an account or using the VitRide platform. By accessing or using VitRide's services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the platform.

1. About VitRide

VitRide is a technology platform operated by Vitdaa Global Resources Ltd. that connects Riders seeking transportation and delivery services with independent Driver Partners. VitRide itself does not provide transportation services -- it provides the technology that enables such connections.

2. Eligibility

To use VitRide's services, you must:

Be at least 18 years of age.
Be capable of forming a binding legal contract under Applicable Law.
Not be barred from using VitRide's services under Applicable Law or any prior VitRide decision.
Complete the registration process and maintain a valid account in good standing.

3. Account Registration & Security

3.1 You must provide accurate, complete, and current information when creating your VitRide account.

You are responsible for maintaining the accuracy of your account information.

3.2 You are responsible for keeping your login credentials confidential and for all activity that occurs

under your account. You must notify VitRide immediately at support@vitride.com if you suspect unauthorized access to your account.

3.3 One account per person. You may not create multiple accounts or transfer your account to another

person.

4. Use of the Platform

4.1 Permitted Use

Vitdaa Global Resources Ltd. | ConfidentialPage 1 of 4 VitRideTerms of Use You may use the VitRide platform solely for the purpose of requesting lawful transportation or delivery services for personal or business use, and for other features expressly offered on the Platform.

4.2 Prohibited Conduct

You must not:

Use the Platform for any unlawful purpose or in violation of these Terms.
Attempt to gain unauthorized access to any part of the Platform, its servers, or related systems.
Use automated tools (bots, scrapers, crawlers) to access, collect data from, or interact with the

Platform.

Harass, threaten, abuse, or discriminate against any Driver, VitRide employee, or other user.
Damage, disable, overburden, or impair the Platform.
Use the Platform to commit fraud, including initiating false or disputed payment claims.
Reproduce, reverse engineer, or create derivative works from any part of the Platform.
Sublicense, sell, or resell your access to the Platform.

5. Rides & Deliveries

5.1 When you request a Trip or delivery through the Platform, you enter into a service agreement directly

with the independent Driver Partner who accepts your request. VitRide is not a party to that service agreement.

5.2 VitRide does not guarantee the availability of drivers or a specific pick-up time. Estimated arrival

times are provided as a convenience and may vary due to traffic and other factors.

5.3 You must be ready at the designated pick-up location at the requested time. If a Trip is cancelled due

to your failure to appear within a reasonable waiting period, a cancellation fee may apply.

5.4 You are responsible for ensuring the accuracy of pick-up and drop-off addresses you provide.

6. Fares & Payments

6.1 Fares are calculated by the Platform based on factors including distance, time, demand, and

applicable surcharges. You will be shown an estimated fare before confirming a Trip request.

6.2 You authorise VitRide to charge the payment method on file for all Trips and services used. All

charges are inclusive of applicable taxes unless stated otherwise.

6.3 Promotional codes, discounts, and credits are subject to their individual terms and expiry dates and

may not be combined unless expressly permitted.

6.4 All payments are final. Refunds may be provided at VitRide's discretion where a valid service failure

is demonstrated. You must raise any fare dispute within 30 days of the Trip.

7. Ratings & Reviews

After each Trip, you and your Driver Partner have the opportunity to rate each other. Ratings are used to maintain service quality. VitRide reserves the right to remove any rating it believes is fraudulent, retaliatory, or in violation of its content standards.

8. User Content

Vitdaa Global Resources Ltd. | ConfidentialPage 2 of 4 VitRideTerms of Use By submitting ratings, reviews, photos, or other content through the Platform, you grant VitRide a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and display such content in connection with operating and improving the Platform. You represent that you have all rights necessary to grant this licence.

9. Intellectual Property

All rights, title, and interest in the VitRide platform -- including its software, design, trademarks, and content -- are owned by Vitdaa Global Resources Ltd. or its licensors. These Terms do not grant you any ownership rights in the Platform. "VitRide" and the VitRide logo are trademarks of Vitdaa Global Resources Ltd.

10. Privacy

VitRide's collection and use of your personal data is governed by the VitRide Privacy Policy, available at vitride.com/privacy. By using the Platform, you consent to the processing of your data as described in the Privacy Policy.

11. Third-Party Services

The Platform may integrate with or link to third-party services (such as mapping providers or payment processors). VitRide is not responsible for the content, privacy practices, or conduct of any third party. Your use of third-party services is at your own risk and subject to their terms and conditions.

12. Disclaimers

12.1 The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by

law, VitRide disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.2 VitRide does not guarantee that the Platform will be error-free, uninterrupted, or secure, or that any

defects will be corrected.

12.3 VitRide is not responsible for the acts or omissions of Driver Partners or other third parties, including

any accident, injury, loss, or damage caused during a Trip.

13. Limitation of Liability

To the maximum extent permitted by Applicable Law, VitRide's total aggregate liability to you arising out of or in connection with these Terms shall not exceed the greater of (a) the amount you paid to VitRide in the 3 months preceding the claim, or (b) NGN 50,000. VitRide is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data.

14. Indemnification

You agree to indemnify and hold harmless VitRide and its officers, directors, employees, agents, and licensors from any claims, losses, damages, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

VitRide may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or for any other reason at VitRide's discretion. You may close your account at any time through Account Settings. Termination does not affect any accrued rights or outstanding payment obligations.

16. Changes to These Terms

VitRide may update these Terms from time to time. We will notify you of material changes via the app or email at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising under or in connection with these Terms shall first be subject to informal resolution, and thereafter to mediation and binding arbitration as set out in VitRide's Dispute Resolution Policy.
